Takeovers by schemes of arrangement

Investors Chronicle carries a regular feature on current takeover offers. These are always accompanied by a brief explanation of how takeovers work, but this has now been amended as a result of an intervention by UKSA. An additional paragraph now appears concerning schemes of arrangement, which is the way by that far the majority of takeovers are now effected.

Chris Hulme, UKSA Chairman, today took part in an internet podcast with David Kuo, Financial Broadcaster with The Motley Fool, one of the UK's leading personal finance websites.

The podcast, part of The Motley Fool's popular Money Talk series, covered some of the most important issues affecting private investors today.

New Directors Appointed For UKSA

UKSA’s directors, meeting on 7.5.11, made three new director appointments. Rosita Sherrard and Gerald Roberts have joined the board with immediate effect. Harry Braund will join it on 16.7.11, which is the date of the next board meeting. These appointments, take the board to eight members, two short of the maximum.

At the close of the FRC’s latest consultation on 'effective company stewardship', UKSA is accusing the FRC of hostility towards private investors.

As the only democratic body representing private shareholders, UKSA is calling on the FRC to start paying attention to their needs.

UKSA publishes March edition of The Private Investor

The UK Shareholders' Association today publishes the most recent edition of its membership magazine, The Private Investor.

This edition features member's comments on topics as diverse as commodity investment, spread betting and the future of the government's stakes in RBS and Lloyds.

Also in this edition is a letter UKSA member Nick Stevens recently wrote to the Economist, titled Executive Rewards and Long-Term Incentive Schemes.

UKSA in MoneyWeek

UKSA director Eric Chalker spotted something in a recent issue of MoneyWeek magazine, dealing with shareholder rights, which didn’t look quite right. The author had suggested that there is no difference between shares held in a nominee account and those held in other ways, but in fact, unlike the use of certificates or personal Crest accounts, investors using nominee accounts are not the legal owners of their shares.
