The Annual Report to
shareholders is one of the key elements by which they are kept informed
about the affairs of the company. Likewise, interim reports can provide
useful data on the progress of the company. The contents of these reports
are prescribed to some extent by the UK Listing Rules and by Company Law.
But the best companies provide much more than the legal minimum in respect
of the key strategic and operational challenges facing the company. The
worst reports are often those where the chairman and other directors provide
florid excuses for mistakes, or self-congratulatory paeans to their own
wisdom.
For UKSA's comments on
the proposals for an Operational and Financial Review (OFR), see:
Annual_Reports_2003. See also the
following document:
Company_Law_2_AGM_Reform_2000.
UKSA would like to see
more information provided to shareholders in such reports, and more
frequently. A submission to the IASB on segmental
reporting in July 2004 can be seen at:
Segmental Reporting.
